1. Definitions

Throughout these Terms & Conditions, the following words carry the meanings given below:

• "Agreement" — these Terms & Conditions, together with any service proposal or engagement letter we issue.
• "Service" — AI integration consulting services offered by Selat Logic, including the Soundings Session, Open Channel Setup, and Calm Waters Retainer.
• "User" or "you" — any person who visits this website or engages Selat Logic for services.
• "We", "us", or "our" — Selat Logic Pte. Ltd., a company registered in Singapore.
• "Content" — all text, images, documents, and materials on this website.
• "Website" — the pages and resources served at selatlogic.live.

2. Acceptance of Terms

By visiting our website or engaging our services, you confirm that you have read and accept these terms. If you are acting on behalf of a business, you confirm that you have authority to bind that business to this Agreement.

Our services are intended for adults aged 18 and over. By proceeding, you confirm that you meet this requirement.

3. Our Services

Selat Logic provides practical AI integration consulting for small businesses, primarily operating in Singapore. Our three current service tiers are:

• Soundings Session — a one-session consultation with a written opportunity summary.
• Open Channel Setup — approximately three weeks of integration setup, testing, and handover support.
• Calm Waters Retainer — an ongoing monthly engagement covering monitoring, tuning, and support.

Service availability is subject to scheduling and capacity. We do not commit to accepting every enquiry. Descriptions on this website are for general information and do not constitute a binding offer until confirmed in writing.

4. Your Responsibilities

Acceptable use

You agree to use this website and our services for lawful, legitimate business purposes only. You must not:

• Attempt to gain unauthorised access to any part of our systems.
• Submit false or misleading information through our contact form.
• Use our content, materials, or recommendations for any purpose that would harm others.
• Reproduce, resell, or redistribute our proprietary methods or documentation without written permission.
• Engage in any conduct that interferes with the experience of other website visitors.

Client responsibilities

For engaged clients, you agree to provide accurate information about your business systems and processes, give reasonable access to the platforms required for integration work, and nominate a point of contact who can attend sessions and answer questions in a timely way.

5. Intellectual Property

All content on this website — including text, design, graphics, and methodology documents — belongs to Selat Logic or its licensors. You may view and print pages for your own personal or internal business reference, but you may not reproduce, distribute, or modify any content for commercial purposes without our written consent.

Work products we create specifically for an engaged client (workflow diagrams, integration configurations) become the client's property upon full payment. Our underlying methods, templates, and general knowledge remain ours.

6. Payment Terms

All prices are quoted in Singapore Dollars (SGD) and include applicable taxes unless stated otherwise.

• Soundings Session (S$172) — payment is due before the session takes place.
• Open Channel Setup (S$338) — a deposit may be requested before work begins; the balance is due upon handover.
• Calm Waters Retainer (S$568/month) — invoiced monthly in advance. The engagement continues on a rolling monthly basis unless either party provides written notice.

Refunds

If you cancel a Soundings Session with less than 24 hours' notice, we reserve the right to retain the session fee. For project-based work, fees paid for completed milestones are non-refundable. For the retainer, cancellation takes effect at the end of the current billing month and no partial refunds are issued.

Where we are unable to deliver a service through our own fault, we will discuss a fair resolution with you directly.

7. Service-Specific Terms

Scope and changes

Each engagement is scoped in a brief written confirmation before work begins. If you ask us to extend that scope, we will agree any additional cost with you before proceeding. We cannot be held to delivering work that falls outside the agreed scope at the original price.

Confidentiality

We treat information about your business operations as confidential. We will not disclose it to third parties except as necessary to deliver the agreed service, and we ask that any proprietary materials we share remain within your organisation.

Timelines

Estimates of delivery time (such as "about three weeks" for the Open Channel Setup) are given in good faith and assume reasonable access and cooperation. Delays caused by factors outside our control may extend timelines, and we will communicate these to you as they arise.

8. Disclaimers

The information on this website is provided for general guidance. It does not constitute legal, financial, or technical advice for your specific situation.

We describe realistic outcomes based on our experience, but we make no promise of any particular result from using our services. Each business is different, and outcomes depend on many factors beyond our control — including the tools, data quality, and staff involvement on your side.

Our website is provided "as is". We do not warrant that it will be available without interruption or free of errors, though we make reasonable efforts to keep it in good working order.

9. Limitation of Liability

To the extent permitted under Singapore law, our total liability to you in connection with any service or website use shall not exceed the fees you paid us for the relevant service in the preceding three months.

We are not liable for indirect, incidental, or consequential losses, including loss of revenue, data, or goodwill, arising from your use of our services or website, even if we were aware such losses were possible.

Nothing in these terms limits liability for fraud, death, or personal injury caused by our negligence, or for any other liability that cannot be excluded under Singapore law.

10. Indemnification

You agree to indemnify and hold harmless Selat Logic, its directors, and staff from any claim, cost, or expense arising from your breach of these terms, your misuse of our services or website, or any content or information you provide to us that is false, misleading, or unlawful.

11. Termination

Either party may end an engagement by providing written notice. For the Calm Waters Retainer, notice takes effect at the end of the current billing month. For project-based work, fees for completed work remain payable.

We may suspend or end access to our services immediately if you breach these terms, provide false information, or engage in conduct harmful to us or others. Sections relating to intellectual property, payment, disclaimers, liability, and dispute resolution survive termination.

12. Dispute Resolution

These terms are governed by the laws of Singapore. Any dispute will first be addressed through good-faith discussions between the parties. If we cannot resolve it informally within 30 days, either party may refer the matter to mediation administered by the Singapore Mediation Centre before pursuing litigation.

Both parties agree to submit to the non-exclusive jurisdiction of the courts of Singapore.

13. General Provisions

• Entire agreement — these terms, together with any written engagement confirmation, form the complete agreement between us on the subject matter.
• Severability — if any clause is found unenforceable, the remainder of these terms continues in full.
• Waiver — failure to enforce a provision on one occasion does not waive our right to enforce it later.
• Assignment — you may not assign your rights or obligations under these terms without our written consent. We may assign ours in connection with a business transfer.
• Notices — formal notices under these terms should be sent by email to [email protected] or by post to our registered address.

14. Changes to These Terms

We may revise these terms from time to time. When we do, the "Last updated" date at the top of this page will change. For material changes, we will post a notice on our homepage for a reasonable period. Continued use of our website or services after revised terms take effect means you accept them.
